AN ALIAS FOR THE BUSINESS / NOT A NEW ENTITYTHE STORY STARTS HERE

01 / A CLEAR STARTING POINT

A new name.
The same legal owner.

A DBA means “doing business as.” Also called an assumed, fictitious or trade name, it lets a person or entity operate under another name where permitted. A DBA does not create an LLC or corporation, add a liability shield or establish trademark rights.

NASS · Business names and trademarks

This is Voda’s separate business setup offering. Voda also helps hard-to-place and non-traditional businesses explore high-risk merchant account placement. Formation and payment-provider approval are separate.

A NAME COMES INTO ITS OWNSkip the story
  1. ACT 01 / OWNER

    Begin with the owner.

An individual, LLC or corporation sits behind the trading name. That owner remains responsible for the business.

  2. ACT 02 / NAME

    Give the idea a name.

A DBA can put another name in front of customers without creating another legal entity.

  3. ACT 03 / CONNECTION

    Keep the connection.

Register where required and keep the relationship between the legal owner and the assumed name clear in your records.

  4. ACT 04 / BRAND

    Make room for the brand.

A DBA, a domain and trademark rights answer different questions. Check each before investing in the identity.

03 / THREE DIFFERENT CHECKS

A name has
more than one context.

01 / THE FILING

DBA registration

Determine whether a state, county or city filing applies to your owner type and location. Some jurisdictions also require publication, renewals or updates when ownership changes.

02 / THE BRAND

Trademark rights

A DBA filing is not trademark clearance. A registration office’s acceptance does not establish that your use avoids another party’s rights. Consider a separate trademark review.

03 / THE WEB

Domain availability

A domain is an online address. Registering it does not form an entity or satisfy DBA rules, and it does not by itself establish a right to use the name as a brand.

THE PRACTICAL DETAILS

Build the plan.
Understand the responsibilities.

BEFORE FILING

Identify the actual owner.

Bring the individual’s legal name or the entity’s exact registered name, plus existing formation details where applicable. A trading name should be tied to the correct legal owner.

LOCAL REQUIREMENTS

Find the right filing office.

Confirm operating locations, owner type, naming restrictions, required notices and renewal dates. A process used in one state or county may not apply in another.

AFTER REGISTRATION

Use the name consistently.

Discuss updates to business records, permits, bank and merchant account profiles. Each provider may require its own evidence; a DBA certificate does not guarantee acceptance.

Is a DBA the same as forming an LLC?

No. An LLC is a legal entity. A DBA is another name used by a person or entity and does not create separate liability protection. If your business needs a different legal structure, review entity formation separately.

Can an LLC or corporation have a DBA?

Often, yes, subject to local law. Existing entities may use assumed names for a brand or line of business. The underlying entity continues to be the legal owner.

Can a sole proprietor register a DBA?

Yes, where the applicable rules permit or require it. A sole proprietor remains personally responsible for the business. Registering a trading name does not change that legal relationship.

Does a DBA give me exclusive rights to a name?

Not by itself. Business name registration and trademark rights are different. Review potential conflicts and the relevant filing rules before investing in a brand.

Does a DBA require a new EIN?

A name change alone generally does not require a new EIN, but ownership or structure changes can. Check the IRS rules for your situation and update the relevant records.

What will my DBA registration cost?

The filing office, owner type, publication rules, service scope and renewal obligations affect cost. Ask for a breakdown of government charges, assistance fees and any recurring requirements.
