PURPOSE AT THE CENTER / RESPONSIBILITY ALL AROUNDTHE STORY STARTS HERE

01 / A CLEAR STARTING POINT

Incorporate the mission.
Plan the obligations.

A nonprofit corporation is formed under state law for an eligible purpose. State nonprofit status does not automatically mean federal tax exemption, deductible donations or exemption from every state tax. Those determinations have separate requirements and, where applicable, applications.

IRS · Nonprofit corporate status and federal tax

This is Voda’s separate business setup offering. Voda also helps hard-to-place and non-traditional businesses explore high-risk merchant account placement. Formation and payment-provider approval are separate.

A PURPOSE BECOMES A SHARED UNDERTAKINGSkip the story
  1. ACT 01 / PURPOSE

    A purpose takes root.

Begin with the people you want to serve and the work that will help them. Make the mission concrete before preparing documents.

  2. ACT 02 / PEOPLE

    People gather around it.

Identify the people who will govern the organization and how they will make decisions together.

  3. ACT 03 / STEWARDSHIP

    Responsibility grows.

Build the entity, records and policies around the mission. A nonprofit needs a working structure as well as a purpose.

  4. ACT 04 / CONTINUITY

    Build for the long view.

State formation, federal tax exemption and fundraising obligations are separate parts of an enduring organization.

02 / START WITH THE WHY

What brings
your people together?

A clear purpose guides the formation conversation. Describe who the organization will serve, what it will do and how decisions will be made.

This illustration does not determine charitable eligibility or the applicable exemption category.

Your focus: Education & learning. Confirm the organization’s purpose and activities before preparing documents.

03 / BUILD IN THE RIGHT ORDER

From a shared purpose
to a responsible organization.

01

Define the mission.

Set out planned activities, beneficiaries and funding sources. Discuss whether a nonprofit corporation is appropriate and which tax-exemption category, if any, matches the work.

02

Build the governance.

Identify directors and officers, decision rules, conflicts policies and recordkeeping needs. Board and membership requirements vary by state and organizational design.

03

Form the entity.

Prepare the state filing and registered agent arrangement. If seeking section 501(c)(3) recognition, required purpose and dissolution provisions should be considered before filing.

04

Review exemption.

Obtain an EIN when needed and assess the separate IRS application. Form 1023-EZ is available only to eligible organizations. Confirm whether specialist application work is in scope.

THE PRACTICAL DETAILS

Build the plan.
Understand the responsibilities.

FORMATION

Know what the filing creates.

Discuss name availability, state incorporation, registered agent service and company records. Confirm the documents, fees and assistance included before beginning.

FUNDRAISING

Review before you ask.

Charitable solicitation registration and disclosures can be separate from incorporation and federal exemption. Review applicable states and how the organization will solicit funds.

STEWARDSHIP

Build a filing calendar.

Track state reports, applicable tax returns and required IRS annual returns or notices. Missing required annual filings for three consecutive years can cause automatic revocation of exemption.

Call (737) 775-5066
Does incorporation make us a 501(c)(3)?

No. State nonprofit incorporation and federal recognition under section 501(c)(3) are separate. A federal application is generally required unless an exception applies. The organization’s purposes, documents and operations must meet the relevant rules.

Can a nonprofit earn revenue or pay employees?

A nonprofit may have revenue and pay reasonable compensation for services. It must operate within applicable nonprofit and tax rules; private benefit, distributions and unrelated business activity require careful review.

Are donations automatically tax deductible?

No. Deductibility depends on the recipient’s qualifying status, the contribution and applicable rules. Do not describe donations as deductible solely because the organization has incorporated.

Do all nonprofits use Form 1023-EZ?

No. That streamlined application has eligibility criteria. Other organizations may need Form 1023 or a different process, depending on the exemption sought. Have a qualified adviser review eligibility.

Does Voda provide tax-exemption application services?

This page offers nonprofit formation support. Discuss the exact scope before ordering; federal exemption preparation, legal drafting and specialist tax advice should not be assumed to be included.

What ongoing filings should we plan for?

Requirements depend on the state, activities and exemption category. Track corporate reports, registered agent renewals, charitable solicitation obligations and any applicable Form 990-series return or notice.
