01 / THE FOUNDATION

A real structure.
For a real ambition.

An LLC, or limited liability company, is a business entity formed under state law. It generally separates the business’s obligations from its owners, who are called members. Liability protection has limits, and tax treatment depends on ownership and elections.

Voda’s company formation services are a separate starting point for new businesses. Voda also helps hard-to-place and non-traditional businesses explore high-risk merchant account placement when they are ready to discuss payments.

AN IDEA, TAKING SHAPESkip the story
  1. ACT 01 / IDEA

    The spark.

Give the idea a starting point. Decide what the business will do, where it will operate and who will own it.

  2. ACT 02 / IDENTITY

    The identity.

Choose a name and plan the ownership. A state filing turns those details into a formal entity when accepted.

  3. ACT 03 / STRUCTURE

    The foundation.

Bring the formation record, operating agreement and tax ID planning into one organized company file.

  4. ACT 04 / NEXT STEP

    Your next chapter.

Move from formation to the practical work of running the business, with licenses, records and recurring deadlines in view.

02 / FROM POSSIBLE TO OFFICIAL

Every company
has a first act.

Here’s how yours takes shape.
One considered step at a time.

FORMATION IS SUBJECT TO STATE REVIEW AND ACCEPTANCE.

01 — FIND YOUR START

Choose where.
Decide who.

Start with where the business will operate, who will own it and how it will be managed. Forming in another state can mean additional registration, fees and reporting where you actually do business.

YOUR FIRST DECISIONS

Operating state · Member details · Business activity

02 — GIVE IT AN IDENTITY

A name that’s yours.
An agent who’s there.

Check your preferred name against the state’s rules and appoint an eligible registered agent to receive legal notices. Name availability, a domain name and trademark rights are separate checks.

SET THE FOUNDATION

State name search · Registered agent · Registered office

03 — MAKE THE FILING

The moment
it becomes official.

Submit the state formation document, often called Articles of Organization or a Certificate of Formation, and pay the required fee. Your LLC is formed when the state accepts it under the applicable rules and effective date.

KEEP THE RECEIPTS

Accepted formation document · State confirmation · Company records

04 — BUILD WHAT COMES NEXT

More than a filing.
A working foundation.

Document ownership and management in an operating agreement. After state formation, apply for an EIN if needed, review licenses and tax registrations, and organize your ongoing compliance calendar.

PREPARE TO OPERATE

Operating agreement · EIN · Banking requirements · Recurring filings

03 / THE SUPPORTING CAST

The filing is a milestone.
The setup is the bigger picture.

Bring the moving parts into one conversation. Confirm the service scope, state charges and ongoing costs before you begin.

THE FIRST BUILDING BLOCK

LLC formation

Support with preparing and submitting your state formation filing, based on your business details and the selected state’s requirements.

Prepare your starting point

Registered agent

A designated point of contact for service of process and official notices. Eligibility, coverage and renewal terms depend on the state and service arrangement.

EIN assistance

Help navigating the federal tax ID application. The IRS issues EINs free; any assistance charge is separate from the government application.

Annual report filings

Support with recurring state reports where required. Filing schedules, state fees and tax obligations vary by jurisdiction.

Beyond your first state

Discuss foreign qualification, a DBA or bank account application support as your business needs develop. Bank approval is a separate decision.

04 / YOUR COMPANY, IN FOCUS

Bring your idea.
Leave with a clearer plan.

Gather these six details before your formation conversation. Use the checklist to see what you have ready.

05 / THE DETAILS MATTER

A strong start
has no fine-print surprises.

01 / BUDGET

What does an LLC cost?

Plan for the state formation fee, any chosen service fees, registered agent renewals and recurring state obligations. Expedited processing, licenses or additional-state registration may add costs.

Ask for a breakdown of one-time charges and ongoing costs.

02 / TIMING

How long does it take?

State processing queues, filing method, document accuracy and any expedited option affect timing. An accepted formation filing, an EIN and a bank account are separate milestones.

Confirm current state processing estimates before setting a launch date.

03 / RESPONSIBILITY

What happens afterward?

Maintain your registered agent, keep records and track state reports, taxes, permits and renewals. Requirements may apply even before the company starts earning revenue.

Put recurring deadlines on the calendar from the beginning.

A COMMON QUESTION, CLARIFIED

Your structure.
Your tax treatment.
Two decisions.

Forming an LLC does not automatically make it an S corporation or guarantee tax savings. For federal income tax, the default treatment generally differs for one owner and multiple owners; eligible LLCs may make a corporate tax election.

Have a qualified tax adviser assess the treatment, eligibility and reporting duties that fit your circumstances, especially with non-US ownership.

06 / BEFORE YOU BEGIN

Good questions.
Clearer answers.

Practical answers for the decisions ahead.

Ask us a question
What is the difference between forming an LLC and incorporating?

An LLC is formed or organized under state law. Incorporation usually means creating a corporation, which has a different ownership and governance structure. The right choice depends on your business, investment plans and legal and tax circumstances.

Can I form an LLC on my own?

Yes. You can generally submit the state filing yourself. Formation services can assist with preparation and submission, but state fees and legal requirements still apply. Confirm the service scope and charges before ordering.

Do I need a registered agent for my LLC?

LLCs generally must maintain an eligible registered agent and registered office in their formation state. Requirements vary. A registered agent receives legal notices; the service does not automatically provide an operating address, mail forwarding or a bank-approved address.

Can a non-US resident own a US LLC?

In many cases, yes. Ownership restrictions, regulated activities, tax reporting and banking requirements need separate review. Forming a US LLC does not grant a visa, residency or guaranteed bank account access. International applicants may need an alternative to the IRS online EIN application.

Should I form in my home state, Delaware or Wyoming?

Start by reviewing where the business actually operates. Forming elsewhere can create additional foreign qualification, agent and reporting costs in your operating state. Compare total obligations with a qualified adviser rather than choosing only by the initial filing fee.

Does an LLC need an operating agreement?

An operating agreement records ownership, management and internal rules. State requirements differ; California, for example, requires one and says to keep it with company records rather than file it with the Secretary of State. It is useful to address these rules even with one owner.

California Secretary of State · LLC requirements
Is an EIN included automatically when I form an LLC?

No. An EIN is a separate IRS application, and the IRS says to form the entity first. The IRS does not charge to issue an EIN. Voda’s EIN application assistance, if selected, is a separate service; confirm its scope and fee.

Does a newly formed US LLC need to file a BOI report?

Under FinCEN’s current rule, entities created in the United States are exempt from federal beneficial ownership information reporting. Different rules can apply to foreign-country entities registered in the US. Check current FinCEN guidance and any separate state obligations before relying on a checklist.

Check current guidance directly with FinCEN
Does formation include a bank or merchant account?

No. LLC formation, business banking and payment processing involve separate applications and reviews. Voda offers bank account application support and merchant account services, but each provider sets its own eligibility, documentation and approval requirements.
