Terms & Conditions

These Terms and Conditions (“Terms”) govern access to vodapayments.com (the “Website”) and the merchant application assistance, payment acceptance solutions, account support and related services provided by Voda Payments (“we,” “us,” or “our”).

“You,” “your” and “Merchant” refer to the individual or business using our Website or requesting our services. If you act on behalf of a business, you represent that you have authority to bind that business.

By accepting these Terms electronically, signing an agreement incorporating them, or using services after receiving notice that these Terms apply, you agree to be bound by them. Merely submitting an inquiry or application does not establish an approved merchant account.

1. Scope and Nature of Services

Voda Payments assists businesses, including mid- and high-risk merchants, with obtaining and supporting payment acceptance solutions. Depending on eligibility and the services approved for your business, these may include:

  • Merchant Accounts: Assistance with applications, account placement, onboarding and ongoing account support.

  • Retail Payments: Payment acceptance through compatible terminals, wireless devices and point-of-sale systems.

  • Mobile Payments: Payment acceptance using supported mobile devices and associated hardware or software.

  • Virtual Terminal Payments: Processing eligible telephone, mail-order and manually entered transactions through an approved virtual terminal.

  • E-Commerce Payments: Access to compatible payment gateways and integrations for online payment acceptance.

  • Additional Services: ACH processing, recurring billing or other payment features where separately offered and approved.

Service Availability: Not every product, payment method, industry or transaction type is available through every provider. Availability depends on underwriting, location, business activities, technical compatibility and applicable legal and network requirements.

Industry Listings: An industry appearing on our Website does not mean that every business, product or transaction within that industry is eligible for processing.

2. Merchant Agreements and Third-Party Providers

Payment services may involve acquiring banks, payment processors, payment gateways, equipment providers and other independent service providers (“Processing Partners”).

  • Separate Agreements: You may need to enter into a merchant processing agreement, gateway agreement, equipment agreement, ACH agreement or other service-specific contract.

  • Order of Priority: Mandatory law applies first. For a particular processing service, the applicable signed service agreement governs that service and controls over these Terms if they conflict. These Terms govern your Website use and services provided directly by Voda Payments where not otherwise addressed.

  • Voda Payments’ Role: Our responsibilities depend on the services we expressly agree to provide. A referral, application submission or support relationship does not, by itself, make Voda Payments your acquiring bank, the holder of your settlement funds or the party responsible for underwriting decisions.

  • Independent Decisions: Processing Partners may independently determine eligibility, pricing, reserves, processing limits, funding conditions and account continuation under their agreements.

  • Changes to Agreements: Informal statements do not amend a Processing Partner’s contract unless the amendment is authorized and documented as required by that contract.

3. Eligibility and Application Requirements

You must be legally capable of entering into a binding agreement and authorized to conduct the business described in your application.

You agree to:

  • Provide accurate, complete and current information about your legal business name, ownership, beneficial owners, authorized representatives, business location and banking arrangements.

  • Accurately disclose your products, services, websites, fulfillment methods, refund practices and subscription or recurring billing arrangements.

  • Provide realistic estimates of transaction sizes, monthly processing volume and delivery timeframes.

  • Disclose previous merchant account terminations, material chargeback issues and other processing history requested during underwriting.

  • Supply reasonably requested supporting documents, which may include identification, business formation documents, bank statements, processing statements and evidence of required licenses.

  • Notify us and the relevant Processing Partner promptly of material changes to the information submitted.

You must not submit another person’s identity documents, banking information or business records without lawful authority.

4. Underwriting, Verification and Approval

All applications are subject to review and approval by the relevant provider.

  • Verification: Information may be checked against documents, public records and authorized identity, fraud prevention or business verification sources, as described in the application and applicable privacy notices.

  • Credit Inquiries: Any credit inquiry requiring authorization will be conducted only on an appropriate legal basis and with any required separate consent.

  • Additional Documentation: Further information, website changes, compliance documentation or financial records may be required before or after approval.

  • No Guaranteed Approval: Quotes, preliminary eligibility discussions, application assistance and marketing statements do not guarantee approval, activation or continued processing.

  • Conditional Approval: Approval may include transaction limits, restricted payment methods, reserves, delayed funding or other conditions.

  • Activation: You must not begin processing until the applicable provider confirms activation and any outstanding conditions have been satisfied.

5. Quotes, Pricing, Fees and Billing

The fees applicable to your account are those disclosed in your accepted fee schedule and service agreements.

  • Preliminary Quotes: An online or verbal quote may depend on the information supplied and may change before acceptance following underwriting, verification or selection of additional services.

  • Pricing Descriptions: Statements concerning competitive or minimum pricing must be read together with the written quote, its assumptions and the complete fee schedule. A quoted transaction rate may not include every applicable account charge.

  • Possible Charges: Where disclosed and agreed, charges may include transaction fees, interchange and network assessments, monthly account fees, gateway charges, equipment costs, chargeback fees, ACH return fees, compliance fees and reserve requirements.

  • Third-Party Charges: Processing Partners may bill separately under their agreements.

  • Payment Authorization: Any authorization to debit your bank account or deduct fees from settlements must be established in the applicable agreement or separate authorization. Submitting an inquiry alone does not authorize account debits.

  • Billing Questions: Review statements promptly and report suspected errors within the period specified in your applicable agreement. Nothing in these Terms shortens a non-waivable legal right.

  • Changes: Pricing changes must follow the notice and amendment procedures in the relevant agreement and applicable law.

  • Cancellation Charges: Early termination fees, minimum commitments and nonrefundable charges apply only where validly disclosed and agreed.

6. Merchant Responsibilities and Lawful Transactions

You remain responsible for your business operations and the goods or services sold to your customers.

You agree to:

  • Maintain all licenses, registrations and approvals required for your activities.

  • Process only genuine transactions arising from your approved business.

  • Obtain valid customer authorization before submitting a payment.

  • Accurately describe your products, prices, delivery commitments and material purchase conditions.

  • Display appropriate customer service contact information, refund terms and cancellation instructions.

  • Fulfill orders and resolve customer complaints promptly.

  • Use only the websites, business names, payment channels and transaction types approved for your account.

  • Follow applicable laws, payment network rules and the conditions imposed by your Processing Partners.

Approval for payment processing does not constitute legal advice or confirmation that your business model is lawful in every jurisdiction.

7. Prohibited Activities and Restricted Businesses

You must not use the services to:

  • Process fraudulent, stolen, fictitious, unauthorized or otherwise unlawful transactions.

  • Conceal the identity of the actual seller or process payments for another business without express approval.

  • Misrepresent your products, industry classification, transaction origin or business location.

  • Split, restructure or route transactions to evade limits, monitoring or underwriting restrictions.

  • Conduct unauthorized cash advances, self-funding transactions or transactions without a genuine underlying commercial purpose.

  • Engage in money laundering, sanctions evasion, deceptive marketing or other illegal conduct.

  • Continue charging a customer after authorization has been validly withdrawn.

  • Bypass security controls, abuse payment systems or interfere with another user’s access.

Businesses involving regulated or elevated-risk products may require additional approval, geographic restrictions, licensing evidence or enhanced monitoring. An industry’s inclusion on our Website does not waive those requirements.

8. Transaction Authorization, Settlement and Funding

  • Authorization Is Not Final Payment: An approved authorization does not establish that a transaction is free from fraud or prevent a later dispute, reversal or chargeback.

  • Funding Schedules: Settlement timing is governed by your processing agreement, batch submission, banking schedules and applicable risk controls.

  • Delays: Funding may be delayed by incomplete verification, unusual activity, bank holidays, technical issues, compliance review or other grounds permitted under the applicable agreement.

  • Processing Limits: Volume limits, transaction size limits and approved sales channels must be observed. Request approval before making material changes.

  • Provisional Credits: Settlement credits may remain subject to adjustment, return or reversal under the relevant agreement and payment rules.

  • Bank Details: You are responsible for providing accurate settlement instructions and promptly reporting unauthorized changes.

Voda Payments does not promise a particular funding timeframe unless it expressly accepts that obligation in writing.

9. Reserves, Holds and Risk Controls

Some merchant accounts, particularly those involving elevated risk, may require reserves or other financial security.

  • Applicable Agreement: Any reserve, hold, security interest, setoff right or account debit authority must arise under the relevant agreement and applicable law.

  • Reserve Arrangements: Where agreed, reserves may be rolling, fixed, capped or otherwise structured to address potential refunds, chargebacks, returns and other liabilities.

  • Risk Changes: The relevant provider may review reserve arrangements when processing activity, financial condition, dispute levels or business practices change, subject to its contractual rights.

  • Release of Funds: Reserve release depends on the applicable agreement, outstanding liabilities and relevant dispute or return exposure.

  • After Closure: Account closure does not necessarily require immediate release of reserves or extinguish unresolved liabilities.

These Terms do not independently authorize Voda Payments to take possession of settlement funds or impose a reserve where no such right has been agreed.

10. Refunds, Chargebacks and Customer Disputes

You are responsible for handling customer complaints and honoring your disclosed refund and cancellation policies, subject to applicable law.

  • Refund Processing: Submit refunds through the approved process and, where required, to the original payment method.

  • Chargeback Responsibility: Your processing agreement determines responsibility for disputed transactions, associated fees and related losses.

  • Supporting Evidence: Retain appropriate receipts, customer authorizations, delivery records and other evidence relevant to disputes.

  • Response Deadlines: Respond to retrieval requests and chargebacks within the deadlines supplied by the relevant provider.

  • No Guaranteed Outcome: Assistance with a dispute does not guarantee reversal of a chargeback or recovery of funds.

  • Excessive Disputes: Elevated dispute levels may result in monitoring, additional controls, fees, reserves, suspension or termination where permitted by the applicable agreement.

  • Continuing Exposure: Refunds and chargebacks may arise after settlement or account termination.

You must not discourage customers from exercising legally protected dispute rights or issue a separate refund without checking whether a pending chargeback could cause duplicate reimbursement.

11. Recurring Billing and Subscription Transactions

If recurring billing is approved for your account, you must:

  • Clearly disclose the price, billing frequency, subscription duration, trial conditions and cancellation procedure before enrollment.

  • Obtain and retain the customer’s affirmative authorization in the form required for the payment method.

  • Provide receipts, renewal notices and notices of changes where required.

  • Offer an accessible cancellation process consistent with applicable law and payment network requirements.

  • Act promptly on valid cancellation requests and withdrawals of payment authorization.

  • Avoid billing beyond the scope or duration of the customer’s consent.

Access to recurring billing tools does not transfer responsibility for your subscription practices to Voda Payments.

12. ACH and Other Bank Account Payments

This section applies only where ACH or other bank account payment services have been separately approved.

  • Authorization: Obtain the authorization required for the transaction type and provide any required copy or confirmation to the account holder.

  • Records: Retain evidence of authorization for the period required by applicable rules and your ACH agreement.

  • Revocation: Provide required instructions for revoking recurring debit authorization and stop future debits when required.

  • Transaction Information: Supply accurate account details and use the appropriate transaction classification.

  • Returns and Reversals: ACH payments may be returned or reversed after initial credit. Availability of funds does not necessarily establish finality.

  • Reinitiations: Do not resubmit returned payments except as allowed by applicable rules and your provider’s instructions.

  • Monitoring: Observe applicable return thresholds, verification requirements and fraud prevention controls.

ACH-specific limits, fees and settlement conditions are governed by your ACH agreement.

13. Payment Security and PCI DSS

You are responsible for securing your payment environment and meeting the Payment Card Industry Data Security Standard (“PCI DSS”) obligations applicable to your business.

  • Validation: Complete required assessments, scans or other compliance validation requested by your acquiring bank or processor.

  • Sensitive Data: Do not retain card verification codes, PIN data or full track data after authorization, even if encrypted.

  • Secure Collection: Use approved payment interfaces and avoid collecting payment credentials through unsecured email, messaging or unapproved forms.

  • Access Controls: Protect credentials, restrict access to authorized personnel and use multifactor authentication where available or required.

  • System Maintenance: Maintain supported software, apply relevant security updates and manage integrations securely.

  • Incident Reporting: Immediately notify the relevant processor and Voda Payments after discovering suspected payment data compromise, unauthorized access or fraudulent account activity.

  • Cooperation: Preserve relevant evidence and cooperate with investigations required under your agreement or applicable rules.

Using a compliant provider does not automatically make your own systems or business processes compliant.

14. Equipment, Software and Integrations

  • Separate Terms: Hardware purchases, rentals, leases, warranties and returns are governed by the applicable equipment agreement.

  • Compatibility: You are responsible for maintaining compatible devices, internet connectivity and required software unless otherwise agreed.

  • Approved Use: Do not alter payment equipment or install unauthorized software that could compromise security or certification.

  • Integrations: Changes to shopping carts, plugins, APIs or third-party systems may affect functionality and require additional work.

  • No Implied Buyout: Voda Payments does not assume existing equipment leases or other provider commitments unless expressly agreed in writing.

  • Account Closure: Closing a merchant account does not automatically cancel a separate equipment lease, gateway subscription or software agreement.

15. Privacy, Confidentiality and Business Information

Personal information is handled in accordance with applicable privacy law and the privacy notices provided in connection with your application or services.

  • Application Information: Information may be shared with prospective Processing Partners as necessary to evaluate an application, subject to applicable notices, authorizations and law.

  • Service Administration: Relevant information may be used or disclosed for onboarding, account servicing, fraud prevention, dispute management and legal compliance.

  • Confidential Information: Each party must use reasonable care to protect the other party’s nonpublic business information and limit access to persons with a legitimate need.

  • Permitted Disclosures: Confidentiality obligations do not prohibit disclosures required by law or reasonably necessary to provide the agreed services through authorized providers.

  • Merchant Data Duties: You must have a lawful basis to provide customer, owner, employee or other third-party information.

  • Retention: Records may be retained for applicable legal, contractual, fraud prevention and dispute resolution purposes, consistent with applicable privacy requirements.

These Terms do not replace a required data processing agreement or authorize unrelated use of personal information.

16. Electronic Communications and Signatures

Where legally valid and properly consented to, applications, agreements, disclosures and account notices may be delivered and signed electronically.

  • You must maintain accurate contact details and monitor the communication channels designated in your service agreements.

  • Any required electronic delivery consent, withdrawal procedure or paper-copy option will be provided separately where applicable.

  • Routine support requests do not amend a service agreement or constitute formal cancellation unless the applicable agreement permits that method.

  • Marketing communications are subject to applicable consent and opt-out requirements. Accepting these Terms alone does not constitute consent to automated marketing calls or text messages.

17. Website Use and Intellectual Property

The Website’s content, branding, graphics and other materials belong to Voda Payments or its licensors and are protected by applicable intellectual property laws.

You may use the Website to evaluate and request our services. You must not:

  • Copy, distribute or commercially exploit protected materials without permission.

  • Impersonate another person or submit misleading applications.

  • Attempt unauthorized access to systems, accounts or data.

  • Introduce malicious code or interfere with Website functionality.

  • Use automated tools to extract protected or nonpublic information without authorization.

Third-party links are provided for convenience. Their inclusion does not make Voda Payments responsible for those websites or their separate terms and practices.

18. Service Availability and Disclaimers

We will use reasonable care in performing services we expressly undertake.

To the extent permitted by law:

  • Website information is provided for general business information and does not constitute legal, tax or regulatory advice.

  • We do not guarantee uninterrupted availability, error-free integrations, approval of every transaction or prevention of every fraudulent payment.

  • Payment services may be interrupted by maintenance, telecommunications failures, bank or network outages and other operational events.

  • We do not guarantee a particular revenue outcome, chargeback result, approval rate or processing savings unless expressly stated in an enforceable written agreement.

  • Except for express commitments in an applicable agreement, implied warranties of merchantability, fitness for a particular purpose and noninfringement are disclaimed to the extent legally permitted.

These provisions do not exclude obligations that cannot lawfully be excluded.

19. Limitations of Liability

To the maximum extent permitted by applicable law:

  • Neither party shall be liable to the other for indirect, incidental, special, consequential or punitive damages, including lost profits or lost business opportunities arising from these Terms.

  • Voda Payments’ aggregate liability arising from services it provides directly shall not exceed the fees paid to and retained by Voda Payments for the affected services during the twelve (12) months preceding the event giving rise to the claim.

  • Fees collected solely for transmission to an independent Processing Partner are excluded from that calculation.

  • Voda Payments is not responsible for an independent provider’s actions solely because it introduced you to that provider. This does not excuse Voda Payments from responsibility for its own actionable conduct.

These limitations do not apply to fraud, willful misconduct, gross negligence or liabilities that applicable law prohibits limiting. They do not determine ownership of settlement funds or eliminate obligations to account for or return money lawfully owed.

Any different liability arrangement in an applicable signed agreement controls for that agreement.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Voda Payments and its personnel against third-party claims, losses and reasonable defense costs arising from:

  • Your unlawful business activities or unauthorized transactions.

  • Your material misrepresentation during application or underwriting.

  • Your material breach of these Terms or applicable payment requirements.

  • Your products, services, fulfillment failures or unlawful billing practices.

  • Your unauthorized use or disclosure of customer or payment information.

This obligation applies only to the extent the claim results from your acts or omissions and does not cover losses caused by the indemnified party’s negligence, willful misconduct or breach.

We will provide reasonably prompt notice of a claim and reasonable cooperation. No settlement may impose an admission, nonmonetary obligation or unreimbursed payment on an indemnified party without that party’s written consent.

21. Suspension, Termination and Account Closure

  • Website Access: We may restrict Website access where reasonably necessary to address misuse, security incidents or unlawful activity.

  • Direct Services: Either party may terminate services provided directly by Voda Payments in accordance with the applicable agreement.

  • Processing Accounts: Processor account suspension and termination are governed by the relevant processing agreement.

  • Urgent Action: Access may be suspended without advance notice where permitted and reasonably necessary to address fraud, security threats, prohibited activity or binding legal or network requirements.

  • Merchant Cancellation: Follow each provider’s cancellation procedure and obtain confirmation. Stopping transactions alone may not close an account.

  • Outstanding Obligations: Validly accrued fees, refunds, chargebacks, returns and other obligations may survive termination.

  • Data and Records: Obtain permitted account reports and records before access ends, subject to applicable retention and access obligations.

Voda Payments cannot guarantee reinstatement of an account suspended or terminated by an independent provider.

22. Changes to These Terms

We may update these Terms to reflect changes in services, legal requirements or business practices.

Updates will be posted on the Website. Material changes affecting an existing direct service relationship will be communicated through an appropriate channel with any notice or consent required by law or the applicable agreement.

Changes will apply prospectively and will not retroactively alter accrued rights or existing disputes. Amendments to a separate processing agreement must follow that agreement’s procedures.

23. Dispute Resolution

  • Initial Resolution: Contact us with a description of the dispute and relevant account information so that we can attempt to resolve it in good faith.

  • Applicable Agreements: Disputes arising under a separate signed service agreement are subject to that agreement’s valid dispute resolution provisions.

  • Separate Provider Disputes: Claims arising under a Processing Partner’s agreement must be addressed in accordance with that agreement.

  • Urgent Relief: Nothing prevents a party from seeking urgent relief or acting before a legal filing deadline.

These Terms do not independently impose mandatory arbitration or waive rights that cannot lawfully be waived.

24. Miscellaneous

  • Independent Parties: These Terms do not create a partnership, joint venture, employment relationship or fiduciary relationship.

  • Force Majeure: Neither party is responsible for a failure caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the disruption. This does not eliminate payment obligations already accrued.

  • Assignment: Any assignment must comply with the applicable service agreement and law and must not materially reduce the other party’s contractual rights.

  • Severability: If a provision is unenforceable, the remaining provisions continue in effect to the extent legally possible.

  • No Waiver: A delay in enforcing a right does not waive that right.

  • Entire Agreement: These Terms and the applicable accepted service documents constitute the agreement concerning their subject matter.

  • Survival: Provisions concerning accrued payments, disputes, confidentiality, intellectual property, liability and indemnification survive termination to the extent necessary to give them effect.
